Terms of Service

These Terms of Service ("Terms") govern your access to and use of StrataView, operated by StrataView, Inc. ("Company," "we," "us"). By accessing StrataView you agree to these Terms. If you are using StrataView on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

  • "Service": the StrataView platform, including the public dashboard, authenticated application, API, policy brief library, and all associated Netlify-hosted resources at strataview.earth.
  • "Account": a registered user account with credentials issued by StrataView, Inc.
  • "Customer Data": data you provide to the Service (queries, exports, notes, or configurations).
  • "Assessment Data": the environmental assessment records, scores, and reports generated by the StrataView DCIAF v3 framework and made available through the Service. Assessment Data is owned by StrataView, Inc.
  • "Tenant": an organization whose users share a common account environment with row-level data isolation.
  • "Authorized User": any person granted access by the Tenant owner under your subscription tier.

2. Access and accounts

Access to the authenticated Service requires an Account. Accounts are issued by StrataView, Inc. on request. There is no self-service sign-up. You are responsible for maintaining the security of your credentials, enabling MFA, and notifying us promptly at security@strataview.earth of any unauthorized access.

The public dashboard and policy brief library are accessible without an Account. Use of these public-access features is also governed by these Terms.

3. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Attempt to access data belonging to another Tenant.
  • Circumvent, disable, or interfere with rate-limiting, authentication, or security controls.
  • Scrape, mirror, or bulk-download Assessment Data for redistribution or resale without a written license from StrataView, Inc.
  • Misrepresent StrataView data in public filings, regulatory submissions, or legal proceedings. You may use Assessment Data as an exhibit but must accurately represent its source, methodology, and limitations as documented at strataview.earth.
  • Use the Service in any manner that could impair the availability or performance of the Service for other users.
  • Submit false or misleading information through contact forms, brief requests, or intent modals.

4. Data ownership

You own your Customer Data. We do not claim ownership of queries, exports, or configurations you create. You grant us a limited license to store and process your Customer Data solely to provide the Service.

StrataView, Inc. owns Assessment Data. The DCIAF v3 scoring methodology, derived assessment scores, composite indices, and generated reports are intellectual property of StrataView, Inc. A subscription tier grants you a license to access and use Assessment Data within the terms of that tier. It does not transfer ownership.

Policy briefs made available through the brief library are licensed for internal use, public comment submissions, regulatory filings, academic citation, and journalism. Republication in commercial products requires written permission.

5. Service availability

Free-tier and public access: Provided "as is," with no uptime guarantee. We may modify, suspend, or discontinue public-access features at any time without notice.

Paid accounts (Core, Portfolio): We commit to commercially reasonable availability but do not provide a formal SLA unless separately negotiated in writing.

Enterprise accounts: Service levels, uptime commitments, and support response times are defined in the applicable Order Form or Enterprise Agreement.

We reserve the right to perform scheduled maintenance, which we will communicate via email to registered users with at least 48 hours' notice where practicable.

6. Payment terms

Subscription fees, billing cycles, and payment methods are defined in the applicable Order Form or checkout flow at the time of purchase. All fees are in US dollars. Except where required by law, fees are non-refundable. We reserve the right to update pricing for new subscription periods; existing subscribers will receive 30 days' notice before a price change takes effect.

Unpaid invoices may result in account suspension after a 15-day grace period.

7. Intellectual property

The StrataView name, DCIAF v3 framework, visual design, logo, and all Assessment Data are owned by StrataView, Inc. and protected by copyright and other intellectual property laws. Nothing in these Terms transfers any ownership interest to you.

If you provide feedback, suggestions, or error reports about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without attribution or compensation.

8. Warranties and disclaimers

8.1 Public site and free access

THE PUBLIC DASHBOARD, POLICY BRIEF LIBRARY, AND ALL FREE-ACCESS FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ASSESSMENT DATA IS DERIVED FROM THIRD-PARTY SOURCES INCLUDING EPA, US CENSUS, AND STATE AGENCY RECORDS AND MAY CONTAIN ERRORS OR OMISSIONS.

8.2 Paid and enterprise accounts

For paid subscriptions, we warrant that the Service will perform materially in accordance with the documentation available at strataview.earth/security/ during the subscription period. Your sole remedy for breach of this warranty is the re-performance of the affected service or, at our election, a pro-rata refund of the fees paid for the affected period.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SADBERRY SINGER, INC.'S AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $100.

IN NO EVENT WILL SADBERRY SINGER, INC. BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless StrataView, Inc. and its officers, directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your misuse of Assessment Data in public proceedings.

11. Termination

You may terminate your Account at any time by contacting us at hello@strataview.earth. We may suspend or terminate your Account if you breach these Terms, after providing reasonable notice except where immediate action is required to protect the security or integrity of the Service or other users' data.

On termination, your access to the Service will cease. We will retain your data as described in our Privacy Policy and as required by the audit log retention obligation.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Wayne County, Michigan, and you consent to personal jurisdiction in those courts.

Before initiating formal legal action, you agree to contact us at hello@strataview.earth and make a good-faith effort to resolve the dispute within 30 days.

13. Modifications to these Terms

We may modify these Terms at any time. Material changes will be communicated by email to registered users at least 14 days before the effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and contact us to close your Account.

14. General

  • Entire agreement: These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and StrataView, Inc.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights as part of a merger, acquisition, or sale of assets.
